Ladies and Gentlemen:
We have acted as United States counsel to XORTX Therapeutics Inc., a corporation organized under the laws of British Columbia, Canada (the "Company"), in connection with a Registration Statement on Form F-1 (File No. 333- 290512) (the "Registration Statement") filed by the Company with the United States Securities and Exchange Commission (the "Commission") under the United States Securities Act of 1933, as amended (the "Securities Act"), and the related prospectus contained therein (the “Prospectus”). We are rendering this opinion in connection with the filing by the Company of the Registration Statement relating to the offer and sale by the Company of: up to an aggregate of $5,000,000 of (A) common shares, without par value per share (the “Shares”), and/or pre-funded warrants to purchase common shares (the “Pre-Funded Warrants”), (B) common shares issuable from time to time upon exercise of the Pre-Funded Warrants, (C) warrants to purchase shares (the “Investor Warrants”), and (D) common shares issuable from time to time upon exercise of the Investor Warrants, pursuant to a Securities Purchase Agreement, to be entered into by and among the Company and the purchasers identified on the signature pages thereto, substantially in the form filed as an exhibit to the Registration Statement (the “Securities Purchase Agreement”). The Shares, the Pre-Funded Warrants and the Investor Warrants are collectively referred to herein as the “Securities.”
